Vaxcyte Launches Dual $500M Stock and Convertible Note Offerings
Vaxcyte is raising up to $1 billion through separate public offerings of common stock and convertible senior notes due 2032.
Vaxcyte, Inc., a clinical-stage vaccine company trading on Nasdaq under the ticker PCVX, announced Monday the simultaneous launch of two separate public offerings totaling $1 billion, consisting of $500 million in common stock and pre-funded warrants and $500 million in convertible senior notes maturing in 2032.
The San Carlos, California-based firm is acting as sole seller in both offerings, which are registered under the Securities Act of 1933. Underwriters have been granted a 30-day option to purchase up to an additional $75 million in shares and a separate $75 million in additional notes, each solely to cover potential over-allotments, bringing the maximum possible raise to approximately $1.15 billion.

The two offerings are structured as independent transactions. Vaxcyte specified that the closing of either deal is not contingent on the other completing successfully, giving the company flexibility to proceed with one even if market conditions undermine the other.
As a clinical-stage vaccine innovator, Vaxcyte has yet to bring a product to market, making large capital raises a standard mechanism to fund ongoing research and development pipelines. The convertible note structure, with a 2032 maturity, offers investors a debt instrument that may convert to equity under defined conditions, while the stock offering provides immediate equity participation.
